Effective
These terms govern your use of primeserv.com. Please read them carefully: by using the site, you agree to them.
Agreement to these terms
These terms of use are an agreement between you and PrimeServ LLC (“PrimeServ,” “we,” “us” or “our”). They apply when you visit primeserv.com or use its forms and other features (the “site”). By using the site, you agree to these terms and to the privacy notice, cookie notice and other policies on this page. If you use the site on behalf of an organization, you agree to these terms on its behalf. If you do not agree, please do not use the site.
Who may use the site
The site is intended for businesses, professionals and job seekers. You must be at least 18 years old, or the age of majority where you live, to send us a form. You may not use the site if the law prohibits you from doing so, including the sanctions laws described below.
Using the site responsibly
You are welcome to browse the site, read and share its content, and use its forms to contact us for genuine business, support or employment purposes. You agree not to:
- use the site in a way that breaks any law or regulation or infringes anyone’s rights;
- try to gain unauthorized access to the site, our systems or our staff dashboard, or to probe, scan or test their vulnerabilities, except as our responsible disclosure policy allows;
- interfere with or disrupt the site, including through denial-of-service attacks or by placing an unreasonable load on it;
- scrape, crawl or copy the site with automated tools in a way that burdens it, ignores the instructions in our robots.txt file, or collects personal information;
- upload viruses, malware or other harmful code, or files you do not have the right to share;
- send spam, bulk or automated submissions, or false or misleading information, or impersonate anyone;
- bypass or disable security features, such as rate limits or bot checks;
- use the site to harass, threaten or harm anyone.
We may block access, or remove submissions, that we believe break these terms.
What you send us
When you send us information or files through the site, you confirm that you have the right to share them, and that sharing them does not break any law or any obligation you owe to others, such as a confidentiality agreement.
You keep ownership of what you send us. You give us permission to store, copy, review and use it to respond to you, evaluate your request or application, prepare proposals and estimates, provide support, keep records and meet our legal obligations, as described in our privacy notice. We may share it with the service providers and affiliated companies that help us do this.
Confidential information. We treat what you send us with care, but sending it through the site does not create a confidentiality agreement or a client relationship. If your request involves confidential business information, please tell us (the RFP form lets you say you need an NDA first), and share the details after we have signed a non-disclosure agreement.
Sensitive data. Please do not send protected health information, payment card data, Social Security or other government ID numbers, passwords or other credentials, or other sensitive personal information through the site. If a project needs sensitive data, we will agree on a secure way to exchange it under an appropriate agreement, such as a data processing agreement or business associate agreement.
Feedback. If you send us suggestions about our site or services, we may use them without any obligation to you.
Our services are governed by separate agreements
The site describes our services for general information only. Nothing on it is an offer, a quote, a warranty, or legal, regulatory, security, medical or other professional advice. Descriptions of services, timelines, budget ranges, and the recommendations shown by tools on the site, such as the project brief, are illustrative and do not bind you or us.
We provide services only under separate written agreements, such as a master services agreement, statements of work, data processing agreements and business associate agreements. Those agreements govern the services, and if they conflict with these terms, they take precedence.
References on the site to standards and regulations, such as HIPAA, SOC 2, GDPR, PCI DSS, OWASP MASVS and WCAG, describe what we design, build and test to. Unless we expressly say otherwise, they are not a statement that we hold a certification or attestation, or that the organizations behind those standards endorse us. Certification of your organization remains with your auditors and assessors.
Intellectual property
The site and its content, including text, graphics, photographs, illustrations, design, logos and code, are owned by PrimeServ LLC or its licensors and are protected by copyright, trademark and other laws. Some content may be used under license from third parties.
You may view the site, and print or download a reasonable number of pages for your personal use or for your organization’s internal evaluation of our services, as long as you keep any copyright and other notices. You may link to any public page. Any other use, including copying, modifying, republishing or creating derivative works from the content, or using it to train machine learning or artificial intelligence models, requires our prior written permission. We reserve all rights not expressly granted in these terms.
Trademarks
Our trademarks, and how you may use them, are described in the trademarks section below.
Links to other websites
The site may link to websites and services we do not control, such as maps, professional networks and our clients’ sites. We provide these links for convenience. We are not responsible for their content, policies or practices, and a link does not mean we endorse them. Your use of them is governed by their own terms.
Disclaimers
We work to keep the site accurate and available, but we provide it “as is” and “as available.” To the fullest extent the law allows, we make no warranties of any kind about the site or its content, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy. We do not warrant that the site will be uninterrupted, error-free, secure or free of viruses or other harmful components, or that the information on it is complete or current. Some jurisdictions do not allow certain warranties to be excluded, so some of these exclusions may not apply to you.
Limitation of liability
To the fullest extent the law allows, PrimeServ LLC, its affiliated companies, and their directors, officers, employees, contractors and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to your use of, or inability to use, the site, even if we have been told such damages are possible. Our total liability for all claims relating to the site will not exceed one hundred US dollars (US$100).
These limits apply whatever the legal theory, whether contract, tort (including negligence), strict liability or otherwise. They do not limit liability that cannot be limited by law, such as liability for fraud, gross negligence or willful misconduct, or for death or personal injury caused by negligence, and they do not affect any rights you have as a consumer that cannot be waived. They do not apply to services we provide under a separate agreement, which that agreement governs.
Indemnity
To the extent the law allows, you agree to defend, indemnify and hold harmless PrimeServ LLC, its affiliated companies, and their directors, officers, employees and agents from any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising from your misuse of the site, your breach of these terms, or content you send us that infringes someone else’s rights or breaks the law.
Copyright complaints
We respect the intellectual property rights of others. If you believe material on the site infringes your copyright, please send us a notice under the Digital Millennium Copyright Act (17 U.S.C. § 512) that includes:

- a description of the material you believe is infringing and where it is on the site, such as its web address, with enough detail for us to find it;

- a statement that you believe in good faith that the use is not authorized by the copyright owner, its agent or the law; and
- a statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on the owner’s behalf.

Export controls and sanctions
You may not use the site, or send us information, in violation of US export control or economic sanctions laws, including the Export Administration Regulations and the sanctions programs administered by the US Treasury Department’s Office of Foreign Assets Control (OFAC), or similar laws that apply to you. By using the site, you confirm that you are not located in a country or region subject to comprehensive US sanctions and are not on a US government list of prohibited or restricted parties. Please do not send us export-controlled technical data, such as data controlled under the International Traffic in Arms Regulations, through the site.
Governing law and venue
These terms, and any dispute arising out of or relating to them or the site, are governed by the laws of the State of Michigan, without regard to its conflict-of-law rules. Any such dispute must be brought exclusively in the state courts located in Macomb County, Michigan, or in the United States District Court for the Eastern District of Michigan, and you and we consent to the personal jurisdiction of those courts. If you are a consumer living outside the United States, you keep any protections, and any right to bring proceedings where you live, that the mandatory laws of your country give you.
General terms
- Severability. If any part of these terms is found unenforceable, it will be enforced to the greatest extent possible, and the rest will remain in effect.
- No waiver. If we do not enforce a provision, we do not give up our right to enforce it later.
- Assignment. You may not transfer your rights under these terms. We may transfer ours, for example in connection with a reorganization, merger or sale of our business.
- Entire agreement. These terms, together with the other notices on this page, are the entire agreement between you and us about your use of the site, and replace any earlier terms for the site. They do not replace or change any signed agreement between us or with your organization, which governs the services it covers.
- Headings are for convenience only and do not affect how these terms are read.
Changes to these terms
We may update these terms from time to time. We will post the updated terms on this page with a new effective date. Changes apply from that date and do not affect disputes that arose before it. If you keep using the site after a change, you accept the updated terms.
